Commerzbank CEO Expresses Optimism About UniCredit Takeover Prospects
Frankfurt, August 6, 2026 – Bettina Orlopp, CEO of Commerzbank, spoke on Thursday about potential value creation following a takeover by UniCredit, signaling a notable change in stance. After months of resistance, Commerzbank has begun talks with UniCredit, which recently acquired a 48% stake in the German lender, effectively gaining control.
For nearly two years, Commerzbank firmly opposed UniCredit’s takeover attempts. However, with UniCredit’s substantial shareholding, the banks have started discussions aimed at finding common ground on governance and business strategy. Orlopp expressed optimism about the talks, stating the goal is to benefit shareholders, clients, and employees.
UniCredit CEO Andrea Orcel, who has led one of the most contentious banking battles in Europe, prefers negotiating directly with the German government and Commerzbank’s employees, rather than through management. The German government, holding a 12% stake since the financial crisis bailout, has criticized UniCredit’s assertive tactics.
Details on the negotiation process remain unclear. Orlopp’s welcoming tone comes ahead of likely months of negotiation as UniCredit awaits regulatory approvals to formalize control. After a €45 billion hostile bid and strategic use of derivatives, UniCredit is pressing for pre-merger changes to boost Commerzbank’s profit.
Orlopp highlighted the mutual interest in cooperation, mentioning potential cost savings and collaborative investment initiatives. She stressed the importance of shared understanding and stakeholder involvement, insisting UniCredit must work alongside Commerzbank’s management rather than impose changes unilaterally.
Commerzbank recently reported a 94% increase in second-quarter net profit to €898 million, surpassing analysts’ forecasts. This growth, driven by stronger commission income, comes as the bank maintains its strategy centered on its international network, a point of difference from UniCredit’s preferred focus.
The German Finance Ministry called on the two banks to resolve their discussions amicably while questioning UniCredit’s aggressive approach. As talks proceed, the future of the combined entity and its strategy for the European banking landscape will take shape.
